  • Eugene Kim is a corporate attorney and the CEO of Nano Law, having served as counsel to various public and private companies for more than 15 years. Prior to forming Nano Law, he practiced at Quinn Emanuel, representing Samsung and Mattel in one of the largest intellectual property and trade secret disputes.

    In 2015, Eugene formed Nano Law with the goal of helping venture-backed startups navigate the unique legal challenges that a startup company faces, without incurring the large fees that startups often face working with big firms.  His big-picture perspective gives him the ability to confidently guide early-stage founders and companies through complicated legal transactions, while providing context for the legal process, through his open and empathetic style of lawyering and mentorship of his clients.

    Eugene’s primary emphasis is overseeing his startup clientele’s day-to-day corporate matters and transactions, guiding his clients in complex debt and equity venture capital financing transactions, and successfully managing acquisitions and exits.  In his role as outside general counsel to various private companies, Eugene also utilizes his corporate, commercial, and intellectual property litigation background to support Nano Law’s startup clients on a wide range of commercial transactions, problem-solving murky equity and ownership disputes, and thinking through complicated scenarios for technology forward clientele operating ahead of current regulations and statutes.

Rami Dennaoui, Esq.

Associate Attorney

  • Rami Dennaoui is a corporate and transactional attorney who advises startups, entrepreneurs, and established businesses on a wide range of corporate transactions and legal matters. His practice focuses on mergers and acquisitions, priced equity financings—including Seed and Series Seed rounds—corporate governance, and regulatory compliance. With a strategic and business-minded approach, Rami helps clients navigate the complexities of growth, investment, and risk management. Known for his collaborative and forward-thinking counsel, Rami works closely with clients to develop legal strategies that support long-term success. He believes that a strong legal foundation is essential for scaling businesses and provides practical, results-driven guidance to help companies grow with confidence.

    Rami's experience spans multiple industries, enabling him to deliver tailored legal solutions that align with his clients' business objectives. Ariadne Clinton, Esq.

Of Counsel Securities Attorney

  • With over 20 years of legal experience, Ari Clinton brings a comprehensive skill set in transactional, private funding, corporate governance, securities regulation and compliance, and commercial law. Her broad expertise spans M&A work, fundraising, contract drafting and negotiation to complex civil litigation, with a particular focus on the financial services industry, the FinTech sector, emerging companies, and navigating complex regulatory frameworks. She has counseled Fortune 100 clients as well as small start-ups just beginning to scale.

    Prior to her role at Nano Law, she served as senior staff counsel at the U.S. Securities & Exchange Commission, where she investigated several high-profile insider trading and market manipulation cases. Ari draws on her experience from the SEC to advise companies, boards of directors, broker-dealers, investment advisers, and venture capital funds, on regulatory matters, company reporting, capital markets transactions, and corporate governance. She counsels public and private companies on a full range of issues, including compliance with the reporting obligations under the U.S. federal securities laws, private placement offerings, follow-on offerings, corporate governance issues and best practices, and compliance with SEC, FINRA, NYSE and Nasdaq requirements.

    In addition, Ari has served as defense counsel for major insurance companies, financial institutions, and held roles at Merrill Lynch, Bank of America, and Debevoise & Plimpton. She excels at guiding startups, established businesses, and joint ventures to success through sound legal counsel, practical solutions, and meticulous planning, bringing invaluable insights to clients seeking robust legal and business guidance.

    Ari earned both her Juris Doctorate and Bachelor of Arts from Georgetown University, graduating with honors, and is admitted to the New York and D.C. bars.

Christopher Pineda, Esq.

Of Counsel Corporate, M&A, Transactional, and Venture Financings Attorney

  • Chris Pineda is an experienced corporate attorney specializing in mergers and acquisitions, venture financing, and transactional matters. He has represented clients across the corporate, technology, and entertainment/media sectors, advising on high-stakes deals and complex business transactions.

    Chris's practice includes counseling startups, investors, and growth-stage companies on venture financings, joint ventures, and general corporate governance. He has also advised buyers in high-value music catalog acquisitions, conducting due diligence and drafting key transaction documents. Additionally, Chris has experience representing recording artists, producers, and entertainment companies in matters related to music clearance, licensing, and other entertainment-related transactions.

    Chris began his legal career at Reed Smith LLP, where he was awarded the Deborah J. Broyles Diversity Scholarship. He earned his Juris Doctorate from USC Gould School of Law with high honors and obtained certificates in Entertainment and Media Law, Business Law, and Technology and Entrepreneurship Law. He also holds a Bachelor of Arts in Public Policy and American Institutions from Brown University.

    Chris is admitted to practice in California and is an active member of the Beverly Hills Bar Association.

Phyllis Cummings

Paralegal

  • Phyllis Cummings is a highly experienced Senior Paralegal and key member of the Nano team with over 30 years of expertise in corporate law, securities, and intellectual property. She began her career during the dot-com boom and has since built an impressive track record in both private practice and government service.

    Her experience spans BigLaw firms such as Wilson Sonsini, in-house legal departments of Fortune 500 companies including Advanced Micro Devices, and key roles within the Securities and Exchange Commission. While at the SEC, Phyllis played an integral role in high-profile securities fraud litigation, collaborating with both the U.S. Attorney's Office and the Federal Bureau of Investigation (FBI) on white-collar criminal investigations and prosecutions.

    Beyond her legal work, Phyllis is passionate about professional growth and mentorship. She previously taught paralegal studies at the college-level and continues to support and inspire the next generation of legal professionals. Phyllis is excited to bring her depth of knowledge and commitment to excellence to Nano Law.

Sara Dennaoui

  • Known for her professionalism and efficiency, Sara Dennaoui is a dedicated legal professional and a key member of the Nano Law team, bringing broad experience in legal research, case analysis, and trial support. She has worked with the Orange County District Attorney's Office and various law firms, gaining hands-on experience in legal drafting, legal research and writing, document and discovery management, and courtroom proceedings.

    Before joining Nano Law, Sara held roles as a judicial law clerk, appellate law clerk, and corporate law clerk, where she played a critical role in drafting detailed legal memoranda, summarizing research findings, and critiquing legal briefs. She also facilitated communication between judges, attorneys, and court staff, ensuring efficiency in legal proceedings. In addition to her research responsibilities, Sara managed case files, coordinated with attorneys, witnesses, and court personnel, and provided real-time research support during hearings and trials.

    Beyond research and case management, Sara is highly skilled in office administration, including streamlining operations, coordinating client communication, and handling billing and scheduling. Her ability to combine legal expertise with strong organizational skills makes her a valuable asset to both our team and our clients.

    Sara holds a Bachelor of Science from California State University, Long Beach, and a Masters from the University of Southern California. Her extensive legal expertise and academic excellence continue to fuel her success in the legal profession, enhancing the firm's ability to provide excellent legal services to a diverse clientele.

Bea Burgos

Legal Assistant

  • As a highly valued member of the Nano Law team, Bea Burgos brings over five years of extensive experience as a legal assistant across multiple practice areas, including criminal law, civil litigation, corporate law, wills and estates, and intellectual property. In addition to her agility at coordinating clients and legal teams, Bea excels at organizing and managing case files, conducting thorough legal research, drafting legal documents, and ensuring that all filings and any necessary documentation are completed accurately and on time to meet critical deadlines.

    Bea earned a Bachelor of Science in Psychology from Miriam College in 2017 and is currently pursuing her Juris Doctor degree at Angeles University Foundation School of Law, one of the top-performing law schools in the Philippines. Her combination of legal expertise, professionalism, attention to detail and academic excellence is integral to Nano Law’s ability to deliver high-quality legal services and drive successful outcomes for our clients.

James Son

Paralegal

  • James is a litigation paralegal with over 10 years of experience. He graduated with a bachelor degree in chemistry from UC Irvine and did consulting work in the environmental health and safety field where he supported large corporate entities, private and public, and primarily dealt with regulatory compliance at the federal, state, and local levels. As his interest in the law grew, in no small part due to his exposure to regulatory compliance work, he switched careers and started working as a full-time legal assistant while attending school at an ABA-approved paralegal training program. At Nano Law, he provides litigation support to the attorneys including drafting motions, propounding/responding to discovery, summarizing deposition transcripts, and other tasks as needed.
